Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, waitlist, and software services operated by OrbFlow AI LLC("OrbFlow," "we," "us," or "our"). By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services.

2. The services

OrbFlow provides marketing and productivity tools, including beta features such as content repurposing, research-related features, and email-related workflows (collectively, the "Services"). We may modify, suspend, or discontinue features, including during beta, with reasonable notice where practicable.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. You must be at least 18 (or the age of majority in your jurisdiction) to create an account where applicable.

4. Acceptable use

You agree not to:

• Violate law or infringe others' rights (including intellectual property and privacy).
• Attempt to probe, scan, or test vulnerabilities without authorization, or interfere with the Services or other users.
• Upload malware, send spam, or generate unlawful, defamatory, or harassing content using the Services.
• Reverse engineer the Services except where applicable law permits.

Fair use (unlimited plans). Where a plan is described as "unlimited" or without a hard monthly cap, OrbFlow may apply soft limits, rate limiting, or temporary throttling to prevent abuse, protect infrastructure, or keep the Services reliable for all customers. We may ask you to upgrade, adjust usage, or move to an enterprise arrangement if usage is far outside typical customer patterns.

5. Beta and experimental features

Beta features may be unstable, change frequently, or be withdrawn. Output generated by AI systems may be inaccurate or unsuitable for your use case. You are responsible for reviewing and using outputs appropriately, including compliance with advertising, email, and industry rules.

6. Third-party services

The Services may integrate with third-party platforms (for example authentication, database, payments, email delivery, research APIs, and AI model providers). Your use of those services may be subject to the third parties' terms. We are not responsible for third-party services outside our reasonable control.

7. Fees and subscriptions

Paid plans, trials, and renewals are described at checkout and in your account where applicable. Taxes may apply. Unless required by law or stated otherwise at purchase, fees are non-refundable except as provided in our policies or the payment processor's rules.

8. Intellectual property

OrbFlow and its licensors own the Services, software, branding, and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You retain rights in content you submit; you grant OrbFlow a license to host, process, and display that content as needed to operate and improve the Services (including using service providers).

9. Termination

You may stop using the Services at any time. We may suspend or terminate access for violations of these Terms, risk to the Services or other users, or as required by law. Provisions that by their nature should survive will survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBFLOW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ORBFLOW FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW.

12. Indemnity

You will defend and indemnify OrbFlow and its affiliates, officers, directors, employees, and agents against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or law.

13. Changes

We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. If changes are material, we will provide additional notice where appropriate. Continued use after changes become effective constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
